A foreign business entering Azerbaijan must usually choose between incorporating a local LLC, registering a branch of the foreign company, or opening a representative office. The decision should reflect the intended operations, contracting model, liability, management and tax position—not registration speed alone.

An LLC is a separate legal entity

An Azerbaijani LLC contracts, owns assets, employs staff and assumes obligations in its own name. A foreign individual or company may be its founder. Where a local operating business, separate brand or future investors are expected, the LLC often provides a clearer corporate framework.

A branch is part of the foreign company

A branch is not a separate legal entity and may perform all or part of the parent company’s functions. Its regulations and the power of attorney issued to the branch head are therefore central to authority, contracts and risk allocation.

A representative office has a narrower role

A representative office is generally used to represent and protect the parent company’s interests. If the plan includes systematic revenue-generating contracts, the proposed activity should be reviewed separately for legal and tax compatibility with that role.

Pre-decision checklist

There is no universally best vehicle. The correct structure depends on revenue, staffing, local contracts, licensing, funding and exit plans.
